1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and GoShopBlack (“GoShopBlack,” “Company,” “we,” “us”).

By accessing or using the GoShopBlack website, mobile applications, software, and related services (collectively, the “Platform”), you:

  • Agree to be bound by these Terms
  • Represent that you have legal capacity
  • Agree to comply with all applicable laws and regulations

If you do not agree, you must discontinue use immediately.

2. PLATFORM STRUCTURE AND ROLE

GoShopBlack operates a multi-vendor online marketplace that enables independent third-party merchants (“Merchants”) to offer goods and services to customers.

Unless explicitly stated otherwise:

  • GoShopBlack is not the seller of record
  • GoShopBlack does not manufacture, warehouse, or control Merchant inventory
  • GoShopBlack is not a party to contracts formed between Users and Merchants

All transactions are formed directly between the User and the Merchant.

Merchants are solely responsible for pricing, fulfillment, compliance, product safety, and customer service.

 

3. ACCOUNT REGISTRATION AND SECURITY

To access certain features, you must create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of credentials
  • Accept responsibility for all activity under your account
  • Notify us immediately of unauthorized access

GoShopBlack may suspend, restrict, or terminate accounts at its sole discretion.

4. PLATFORM FEES AND PAYMENT PROCESSING

4.1 Payment Processing

All payments are processed through third-party providers, including Stripe.

GoShopBlack:

  • Does not store full payment card numbers
  • Does not control third-party payment infrastructure
  • Relies on processor fraud detection systems

By submitting payment information, you authorize the applicable processor to charge your selected payment method.

4.2 Merchant Platform Fees

Merchants agree to pay all applicable platform fees, including but not limited to:

  • Transaction fees
  • Subscription fees
  • Promotional or sponsored placement fees
  • Payment processing adjustments

Fees may be deducted automatically from settlement payouts.

GoShopBlack may set off unpaid amounts against current or future balances.

Failure to pay platform fees constitutes material breach.

5. SETTLEMENTS, RESERVES, AND ESCROW CONTROLS

GoShopBlack may:

  • Temporarily hold funds pending transaction settlement
  • Impose rolling reserves
  • Delay payouts for risk mitigation
  • Freeze funds pending investigation
  • Structure settlements in accordance with payment processor rules

Funds may not be immediately available due to fraud prevention, disputes, or regulatory obligations.

6. RISK MANAGEMENT AND FRAUD ENFORCEMENT

GoShopBlack reserves sole discretion to monitor and assess platform risk using internal systems and third-party signals.

Risk indicators may include:

  • Chargeback ratios
  • Refund frequency
  • Dispute patterns
  • Fraud indicators
  • Behavioral analytics

Based on risk assessment, GoShopBlack may:

  • Restrict account functionality
  • Remove listings
  • Hold payouts
  • Require identity verification
  • Suspend or terminate accounts

Risk scoring models and methodologies are proprietary and confidential.

Fraudulent conduct may be reported to financial institutions and law enforcement authorities.

7. AML, SANCTIONS, AND EXPORT CONTROL COMPLIANCE

Users and Merchants represent that they:

  • Are not located in sanctioned jurisdictions
  • Are not listed on restricted or prohibited party lists
  • Will not use the Platform in violation of export control laws

GoShopBlack may:

  • Monitor transactions for suspicious activity
  • Require beneficial ownership disclosures
  • Block or freeze accounts to comply with regulatory obligations
  • Cooperate with financial institutions and authorities

8. ACCEPTABLE USE AND ANTI-CIRCUMVENTION

You agree not to:

  • Violate applicable laws
  • Circumvent payment systems
  • Redirect customers off-platform to avoid fees
  • Manipulate reviews
  • Scrape platform data
  • Reverse engineer the Platform
  • Attempt unauthorized access

Violations may result in immediate termination and legal action.

 

9. AI MODERATION AND AUTOMATED ENFORCEMENT

The Platform may use automated systems and artificial intelligence to:

  • Detect fraud
  • Flag suspicious activity
  • Moderate listings
  • Enforce policy compliance

Enforcement decisions may be partially or fully automated.

Manual review is not guaranteed.

10. USER CONTENT AND INTELLECTUAL PROPERTY

By submitting content, you grant GoShopBlack a worldwide, royalty-free, sublicensable license to use, reproduce, and display such content in connection with the Platform.

You represent that you have necessary rights to the content.

All Platform branding, software, and proprietary technology remain the property of GoShopBlack or its licensors.

11. COPYRIGHT AND DMCA PROCEDURE

If you believe content infringes your copyright, submit written notice including:

  • Identification of copyrighted work
  • Identification of allegedly infringing material
  • Contact information
  • Good-faith statement
  • Statement under penalty of perjury
  • Signature

Upon valid notice, GoShopBlack may remove or disable access to content.

Counter-notifications may be submitted consistent with applicable law.

Repeat infringers may be permanently removed.

12. THIRD-PARTY SERVICES AND ADVERTISING

The Platform integrates with third-party services including payment processors, analytics providers, and advertising technologies.

We may use:

  • Meta Pixel
  • Google Ads
  • TikTok Pixel
  • ActiveCampaign
  • Tapfiliate

GoShopBlack is not responsible for third-party systems or practices.

13. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by law, GoShopBlack disclaims all warranties, express or implied, including:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted access

GoShopBlack does not guarantee Merchant conduct or transaction outcomes.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, GoShopBlack shall not be liable for:

  • Indirect or consequential damages
  • Lost profits
  • Data loss
  • Merchant misconduct

Total aggregate liability shall not exceed the greater of:

  • $100 USD
  • The amount paid to GoShopBlack in the preceding 12 months

15. INDEMNIFICATION

You agree to indemnify and hold harmless GoShopBlack from claims arising from:

  • Your violation of these Terms
  • Your misuse of the Platform
  • Your violation of laws or third-party rights

 

16. DISPUTE RESOLUTION AND ARBITRATION

16.1 Informal Resolution

You agree to attempt informal resolution within 30 days of written notice.

16.2 Binding Arbitration

Disputes shall be resolved by binding arbitration administered by a recognized arbitration provider.

Arbitration shall:

  • Be conducted individually
  • Occur in Delaware unless otherwise agreed
  • Be conducted in English

16.3 Class Action Waiver

YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS.

16.4 Jury Trial Waiver

YOU WAIVE THE RIGHT TO A JURY TRIAL.

16.5 Injunctive Relief

Either party may seek injunctive relief for intellectual property violations.

17. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

 

18. INTERNATIONAL COMPLIANCE

Users are responsible for compliance with local laws.

Nothing in these Terms limits mandatory statutory rights under:

  • GDPR
  • UK GDPR
  • PIPEDA
  • CCPA/CPRA

Where applicable.

 

19. GOVERNMENT AND REGULATORY COOPERATION

GoShopBlack may preserve records and disclose information in response to lawful requests, subpoenas, or regulatory obligations.

20. FORCE MAJEURE

GoShopBlack shall not be liable for failure or delay caused by events beyond reasonable control, including:

  • Natural disasters
  • Cybersecurity incidents
  • Government action
  • Infrastructure failures
  • Payment network disruptions

21. DATA PROCESSING ADDENDUM FRAMEWORK

Enterprise partners may request a separate Data Processing Addendum governing:

  • Data security standards
  • Cross-border transfers
  • Subprocessor disclosures
  • GDPR-compliant obligations

If executed, the DPA governs data protection matters.

22. TERMINATION AND SURVIVAL

GoShopBlack may terminate access for violation of these Terms or risk exposure.

The following provisions survive termination:

  • Arbitration
  • Liability limitations
  • Indemnification
  • Fee recovery
  • AML compliance
  • Intellectual property

23. SEVERABILITY

If any provision is unenforceable, remaining provisions remain in effect.

24. ENTIRE AGREEMENT

These Terms, together with:

  • Privacy Policy
  • Seller Terms & Merchant Agreement
  • Cookie Policy
  • Affiliate Terms

Constitute the entire agreement between you and GoShopBlack.
