Penalty amounts (not fixed): Penalties are not fixed. GoShopBlack reserves the right to assess reasonable administrative fees, recover actual losses, deduct chargeback and payment-processor costs, and take enforcement actions including holds, reserves, suspension, or termination, as described in these Merchant Terms and any applicable Fee Schedule available in your seller dashboard.
These Seller Terms & Merchant Agreement (the “Merchant Terms”) are a binding contract between GoShopBlack (“GoShopBlack,” “we,” “us,” “our”) and the business or individual accepting these Merchant Terms (“Merchant,” “you,” “your”).
Clickwrap acceptance. By checking the required box (or otherwise clicking “I agree,” “Create account,” “Submit,” or similar) and/or by accessing or using merchant features, you agree to these Merchant Terms and to any policies incorporated by reference.
Electronic records. You agree that electronic acceptance, notices, and records satisfy any requirement for a written agreement and written notice.
Recordkeeping (for enforceability; what GoShopBlack should store). GoShopBlack should store and maintain acceptance logs to prove what was agreed to and when, including: merchant/user ID, date/time, terms version, acceptance method (checkbox/button), IP address (if captured), device/user agent (if captured), and the exact checkbox text shown at acceptance.
“Customer” means an end user who purchases goods or services from you through GoShopBlack.
“Listing” means a product or service listing you publish on GoShopBlack.
“Order” means a Customer’s purchase of your goods/services through GoShopBlack.
“Gross Order Amount” means the amount paid by the Customer for an Order before GoShopBlack deductions, including the item/service subtotal and any shipping/service charges you set, and excluding taxes only if taxes are separately itemized at checkout and collected for remittance.
“Platform Fee” means the 6% fee described in “Fees, deductions & the 6% platform fee.”
“Payment Processor” means the third-party provider(s) used to process payments and deliver payouts.
“Payout” means the funds remitted to you after deductions, holds, refunds, chargebacks, and other authorized adjustments.
“Merchant Content” means content you provide for GoShopBlack, including Listing text, images, trademarks, logos, and product photos.
“Policies” means GoShopBlack seller policies and rules posted in the seller dashboard and/or on GoShopBlack policy pages, as updated from time to time. Policies are incorporated into these Merchant Terms by reference.
You represent that you are at least 18 years old and have authority to bind the business you represent. You agree to provide accurate, current, and complete business information (including contact, tax, and payout information) and to keep it updated.
Account security.
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify GoShopBlack of suspected unauthorized access.
Material changes.
You must notify GoShopBlack of material changes to your business information (including business name, ownership/control, legal entity, tax information, or payout/bank details) within 30 days of the change.
GoShopBlack provides a marketplace platform enabling Merchants to list and sell goods/services to Customers. Unless GoShopBlack states otherwise in writing, you are the seller of record for your Listings and responsible for fulfilling your Orders. GoShopBlack does not guarantee sales, traffic, or business outcomes.
You are solely responsible for your Listings and Orders, including:
Listing accuracy.
Listings must be truthful, complete, and not misleading, including descriptions, images, price, variants, quantity/pack size, condition, service area, and fulfillment timelines.
Pricing and disclosures.
You must clearly disclose the full price a Customer will pay, including any required fees you charge, before purchase. You must not engage in deceptive pricing practices, including hidden mandatory fees, false discounts, bait-and-switch pricing, or inflating shipping/handling to misrepresent total cost.
Fulfillment.
You must fulfill Orders promptly and as described, including packaging, quality, and delivery.
Customer service.
You must provide reasonable customer support, respond to customer inquiries, and make good-faith efforts to resolve disputes.
Legal compliance.
You must comply with all laws applicable to your Listings and business operations (including advertising and consumer protection, product safety, labeling, licensing requirements, and service regulations where applicable).
You may not list, sell, or facilitate:
Illegal goods or services
Stolen goods
Counterfeit goods or goods that infringe intellectual property rights
Unsafe goods (including goods subject to recall where applicable)
Items or services GoShopBlack designates as prohibited in Policies
You may not:
Misrepresent your identity, business information, or Listings
Engage in fraud, scams, or abusive conduct
Harass, threaten, discriminate against, or abuse Customers or GoShopBlack staff
Manipulate reviews, ratings, referrals, or reports
Attempt to move GoShopBlack-originated Customers to off-platform payment methods to avoid fees or marketplace protections
Circumvent platform controls, enforcement actions, or account restrictions
Submit false or retaliatory reports against other Sellers or Customers
Enforcement.
GoShopBlack may remove or limit Listings, restrict features, require corrective actions, hold payouts, impose reserves, and/or suspend or terminate accounts if GoShopBlack reasonably believes you violate these Merchant Terms or Policies, or if your activity creates fraud, compliance, legal, trust, or safety risk.
GoShopBlack charges a 6% platform fee per completed Order. The platform fee is deducted automatically from your payout.
Unless GoShopBlack discloses otherwise in writing, the Platform Fee is 6% of the Gross Order Amount and is deducted before Payout.
GoShopBlack may offer optional paid services (for example, subscriptions, premium tools, or promotions). Any additional fees will be charged only if GoShopBlack clearly discloses them and you affirmatively accept them. Current fee details (if any) are shown in your seller dashboard.
Payment processing fees are charged by the Payment Processor and are separate from the Platform Fee. Depending on your configuration and the Payment Processor’s rules, processing fees, refunds, and chargeback costs may be deducted from your balances and/or allocated to you.
Penalties are not fixed. GoShopBlack reserves the right to assess reasonable administrative fees, recover actual losses, deduct chargeback and payment-processor costs, and take enforcement actions including holds, reserves, suspension, or termination.
To receive Payouts, you may be required to create, connect, or maintain an account with the Payment Processor. You agree to comply with Payment Processor requirements.
You authorize GoShopBlack to:
Initiate and process payments from Customers
Deduct the Platform Fee and other accepted fees
Instruct the Payment Processor to issue Payouts
Share necessary data with the Payment Processor
Take other payment-related actions consistent with these Terms
Payout timing may vary based on Payment Processor rules, verification status, dispute activity, and risk controls.
GoShopBlack may place holds, impose reserves, delay payouts, or suspend payouts to manage risk.
You authorize GoShopBlack to recover owed amounts by deducting from current or future Payouts or charging a payment method on file, where lawful.
You are responsible for determining and complying with your tax obligations unless GoShopBlack explicitly agrees in writing to collect and remit specific taxes on your behalf.
You are responsible for setting and honoring refund/return policies and processing refunds when required.
GoShopBlack may issue refunds or credits to protect Customers and marketplace integrity and may debit related amounts from your balances.
You are responsible for chargeback amounts and related fees to the extent allocated to you.
You retain ownership of Merchant Content.
You grant GoShopBlack a worldwide, non-exclusive, royalty-free, sublicensable license to use Merchant Content to operate, improve, market, and promote the marketplace.
Customer data may only be used for:
Fulfilling Orders
Providing customer service
Complying with law
You may not sell or misuse Customer data without proper consent and lawful basis.
You may request account closure after settling open Orders and obligations.
GoShopBlack may suspend or terminate accounts if violations or risks are identified.
Certain sections survive termination (fees, indemnity, limitations, dispute resolution).
You will defend and indemnify GoShopBlack against claims arising from your Listings, violations, infringement, or wrongful acts.
The marketplace is provided “as is.”
GoShopBlack is not liable for indirect or consequential damages.
Liability cap: GoShopBlack’s total liability in any 12-month period will not exceed the total Platform Fees paid by you in that period, unless required otherwise by law.
GoShopBlack may update Terms, Policies, or fees.
At least 30 days’ notice will be provided for fee increases or material changes, except in emergency or compliance situations.
Continued use after the effective date constitutes acceptance.
Informal resolution required first via contact@goshopblack.com.
Governing law: State of Delaware.
Exclusive forum: State or federal courts in Delaware.
Disputes must be brought individually, not as class actions.
